*****SELLER’S DISCLOSURES FOR AUCTION PURCHASE AGREEMENT*****
1. RAMADA FRANCHISE a. The parties acknowledge that Seller is a party to an ongoing franchise agreement between Seller and Ramada Worldwide Inc. (the “Franchise Agreement”) and has operated a business providing transient guest lodging services on the Property as a franchisee of the Ramada system. The parties acknowledge that Seller has no right to assign said Franchise Agreement to Buyer without the prior written consent of the franchisor, Ramada Worldwide, Inc. The parties further expressly agree that the Closing under the Auction Purchase Agreement shall not be conditioned upon Buyer obtaining an assignment of the Franchise Agreement, and that the Closing of the Auction Purchase Agreement shall not be conditioned upon the Buyer’s ability to enter into a franchise agreement with Ramada Worldwide, Inc., or any other franchisor concerning the operations of any attendant business on the Property. In the event Buyer receives an assignment of the Franchise Agreement, or should the Buyer enter into a new franchise agreement with Ramada Worldwide, Inc., or any other franchisor, all expenses and costs associated therewith shall be and shall remain the sole and exclusive obligations of Buyer. Seller agrees to reasonably cooperate with Buyer in Buyer’s efforts to obtain Ramada Worldwide, Inc.’s consent to the assignment of the Franchise Agreement from Seller to Buyer. b. Buyer acknowledges that in the event Buyer does not receive an assignment of the Franchise Agreement or does not enter into a new franchise agreement with Ramada Worldwide, Inc., Buyer shall promptly remove all signage and all other items bearing any service marks associated with Ramada Worldwide, Inc. or trademark, trade name, trade dress, logo and derivations thereof and other related intellectual property of Ramada Worldwide, Inc. from the Property. Buyer further acknowledges that under the terms of the Auction Purchase Agreement, Buyer shall be required to indemnify and hold Seller, and any agent, employee, manager, member, director, or officer of Seller harmless against all losses, claims, liability, or damages arising out of Buyer’s failure to remove all signage and all other items bearing any service marks associated with Ramada Worldwide, Inc. or trademark, trade name, trade dress, logo and derivations thereof and other related intellectual property of Ramada Worldwide, Inc.
2. LIQUOR PERMIT FROM THE STATE OF OHIO a. The parties acknowledge that Seller is the holder of an Ohio D-5(a) liquor permit issued for the Property (the "Permit”). Seller agrees to reasonably cooperate with Buyer and execute all reasonably necessary documents to effectuate the transfer of the Permit from Seller to Buyer. The parties agree that all expenses and costs associated with the transfer of the Permit shall be and shall remain the sole and exclusive obligations of Buyer. The parties further expressly agree that the Closing under the Auction Purchase Agreement shall not be conditioned on the transfer of the Permit from Seller to Buyer. b. A member of the Limited Liability Company known as Snoozer Limited recently transferred his ownership interest to a family member. The Department of Commerce for the State of Ohio has been notified and a transfer of the parties named on the permit is pending before that agency. Buyer acknowledges that the Department of Commerce – Liquor Control Division will not entertain another transfer until this transfer is complete.
